When the Swiss Stock Exchange Act (BEHG) was enacted the guided self-regulation and the private law orientation of the Swiss Stock Exchange were clearly prioritised. Especially the complaint procedures fixed in Art. 9 BEHG show the legislator’s intention to design the sanction system as a private law procedure. This orientation was, however, controversial from the beginning and is still challenged today; in particular the legal protection is regarded as inadequate. However, not only the organisation of the proceedings is criticised: The regulated firms find fault with the implementation of the sanctioning mandate as well as the list of possible sanctions. In the light of these objections the sanctioning system of the Swiss Stock Exchange will be thoroughly analysed in this dissertation. After a general explanation of the organisation of the Swiss Stock Exchange and the sanctioning system in the first chapter the procedural aspects will be the main topic of the second chapter: First of all the legal characterisation will be covered in detail and the reasons for the emphasis on the private law classification will be explained, in addition the legality of the sanctioning system will be examined based on the procedural guarantees of Art. 6 EMRK. In the course of this analysis a special emphasis will be given to the issue whether the arbitrating body is a full-fledged and adequate substitute for a court. Furthermore I will enter into the question regarding the legal protection of other stakeholders (especially: the shareholders), which has been raised by the ruling of the Swiss Federal Court in the case Bergbahnen Lenzerheide AG. In the third chapter the substantive aspects of the sanctioning system (sanctioning principles, list of sanctions) will be discussed. The sanctioning procedures will be examined and assessed referring to the features criticised by the issuers and the press. Lorsque la loi fédérale sur les bourses et le commerce des valeurs mobilières (LBVM) fut édictée, l’autorégulation dirigée et l’orientation de la bourse en institution de droit privé étaient clairement prioritaires. L’instance de recours de l’article 9 LBVM montre notamment la volonté du législateur que la procédure de sanction soit une procédure civile. Cette orientation était, cependant, disputée dès le début et est même aujourd’hui mise en question; la protection juridique est en particulier considérée comme inadéquate. Au-delà de la procédure, d’autres aspects sont aussi critiqués: Les entreprises régulées dénoncent notamment la manière d’appliquer le mandat de sanction ainsi que le catalogue de sanctions. En vue de ces objections, le système de sanction de la bourse suisse sera analysé en détail dans la dissertation présentée. Après une description générale de l’organisation de la bourse suisse et de la procédure de sanction dans le premier chapitre, les aspects juridiques de la procédure sont au centre du deuxième chapitre: En premier lieu, la caractérisation légale de la procédure est couverte en détail ainsi que les raisons pour une classification en droit privé sont expliquées; de plus, la légalité de la procédure est examinée en vue de l’article 6 CEDH. Dans le cadre de cette analyse, il s’agit surtout de la question si le tribunal arbitral de la bourse représente un tribunal approprié et de pleine valeur. De plus, la question de la protection juridique d’un tiers soulevée par l’arrêt du tribunal fédéral dans Bergbahnen Lenzerheide AG sera discutée. Dans le troisième chapitre, les aspects matériels de la procédure de sanction (principes de sanction, catalogue de sanctions) seront discutés. La pratique de sanction sera examinée et évaluée sur la base des points critiqués par les émetteurs ainsi que la presse. Des mesures d’amélioration déjà introduites seront aussi considérées. Beim Erlass des Bundesgesetzes über die Börsen und den Effektenhandel (BEHG) standen die gesteuerte Selbstregulierung und die Ausrichtung der Börse als privatrechtlich organisierte Institution klar im Vordergrund. Insbesondere der in Art. 9 BEHG vorgezeichnete Beschwerdeweg zeigt, dass nach dem Willen des Gesetzgebers das Börsensanktionsverfahren ein Zivilverfahren ist. Diese Ausrichtung des Sanktionsverfahrens war jedoch von Beginn an umstritten und wird auch heute noch in Zweifel gezogen; insbesondere wird der Rechtsschutz als mangelhaft angesehen. Doch nicht nur die Verfahrensausgestaltung gibt Anlass zu Kritik: Von den Regulierten wird namentlich die Umsetzung des Sanktionierungsauftrags sowie der Sanktionenkatalog bemängelt. Angesichts dieser Beanstandungen wird in der vorliegenden Dissertation das Sanktionsverfahren der Schweizer Börse sorgfältig analysiert. Nach einer überblickartigen Erläuterung der Organisation der Schweizer Börse und des Sanktionsverfahrens im ersten Kapitel stehen im zweiten Kapitel die verfahrensrechtlichen Aspekte im Vordergrund: Hier werden zum einen die Frage der rechtlichen Charakterisierung des Börsensanktionsverfahrens ausführlich behandelt und die Gründe für die Betonung der privatrechtlichen Klassifzierung herausgearbeitet, zum anderen wird ausgehend von den in Art. 6 EMRK verankerten Verfahrensgarantien die Rechtsstaatlichkeit des Börsensanktionsverfahrens überprüft. Im Rahmen dieser Untersuchung wird auch insbesondere der Frage nachgegangen, inwieweit es sich beim Börsenschiedsgericht um eine vollwertige und geeignete gerichtliche Instanz handelt. Ausserdem wird die durch den Bundesgerichtsentscheid im Fall Bergbahnen Lenzerheide AG aufgeworfene Frage des Rechtsschutzes von Dritten (insb. Aktionären) behandelt. Im dritten Kapitel werden dann die materiellen Aspekte des Börsensanktionsverfahrens (Sanktionierungsgrundsätze und Sanktionenkatalog) näher betrachtet. Die Sanktionierungspraxis wird anhand der von Emittenten und der Presse gerügten Punkte systematisch durchleuchtet und bewertet. Bereits eingeführte Verbesserungsmassnahmen werden dabei einbezogen.
